Terms of Use
These Terms of Use govern your use of the PrismNext desktop application and this website. Please read them together with the Privacy Policy.
1. Acceptance
By downloading, installing, or using the official PrismNext software, you agree to these Terms. If you do not agree, do not install or use the software.
Use of this website is limited to reading the pages and downloading official installers. The website-related provisions of these Terms (acceptable use, intellectual property, disclaimers, and limitation of liability) apply to that use. Opening a page does not grant the Publisher rights in anything on your computer.
These Terms are a product notice issued by yibocat (the “Publisher”). They are not legal advice. They do not replace the Apache License 2.0 that governs the open-source source code.
2. The software and the website
“Software” means the official PrismNext desktop installer and the installed application, including bundled components such as the embedded Pi agent host and, where present in a given build, Pro modules. “Website” means the public site at the address above and its static assets.
PrismNext is a local research environment. The Publisher does not provide hosting for your projects, does not operate a PrismNext cloud for manuscripts or chats, and does not act as your model-inference provider.
3. Eligibility
You must be able to form a binding agreement under the laws that apply to you. The Software is intended for research and professional use. It is not directed at children.
4. License to use the Software
Subject to these Terms, the Publisher grants you a non-exclusive, non-transferable, revocable license to install and use the official installer on devices you or your research group control, for research or internal evaluation.
This license does not transfer ownership of the Software. It does not grant you rights in the Publisher’s name, marks, or website design, except as needed to identify the Software.
If you copy, modify, or redistribute source code, the Apache License 2.0 controls that activity. If these Terms and the Apache License conflict on the subject of source-code redistribution, the Apache License controls.
5. Open-source components
The Software incorporates or bundles third-party and open-source components (including, without limitation, Electron, Chromium, and Tectonic). Those components remain subject to their own licenses. Nothing in these Terms limits rights you have under those licenses with respect to those components alone.
6. Early Access and Pro modules
The Software is offered in Early Access. Features may change, be delayed, break, or be withdrawn without notice. The Publisher does not promise any particular roadmap, publication date, or continued availability of any feature.
Certain official builds include Pro modules. Those modules are not licensed under Apache
2.0 unless a given module’s own notice says otherwise. During the public preview, the
test key PRISM-PRO-DEV-TEST unlocks bundled Pro teams without payment. Free
core features do not require a key. An activation key, when used, is permission to use
the corresponding modules in that installation. It is not a transfer of source code, not
a sale of the open-source core, and not a subscription.
There is presently no paid plan, refund policy, service-level agreement, or guaranteed support. If paid licensing is introduced, these Terms will be updated.
7. No account
The Publisher does not require a PrismNext account. You are responsible for the security of the device on which the Software runs and for any credentials you store in settings.
8. Your content and local data
You retain whatever rights you already have in files, notes, libraries, and other materials you create or import (“Your Content”). The Software stores Your Content on your device as described in the Privacy Policy. The Publisher does not claim ownership of Your Content and does not receive a license to use it, because the Publisher does not host it.
You represent that you have the rights needed to use Your Content with the Software, including rights in papers, data, and third-party materials you import.
If you send feedback or a bug report by email, the Publisher may use that message to improve the Software without payment to you. That permission does not extend to Your Content stored on your device.
9. Acceptable use
You agree not to use the Software or Website to:
- violate applicable law;
- infringe intellectual-property or privacy rights of others;
- attempt to disable, interfere with, or circumvent security or permission gates except as needed to debug software you are authorized to modify;
- misrepresent the origin of generated text, data, or code in a manner that violates the rules of a journal, conference, employer, or funder; or
- present a mere redistribution of the official installer as an independent product, or use the PrismNext name or marks in a way that suggests the Publisher sponsors or endorses you.
You remain responsible for commands, file edits, package installs, and network requests that you authorize the agent to perform.
10. Artificial intelligence and research outputs
The Software may generate or transform text, code, citations, figures, and experimental commands using models and tools you configure. Outputs may be incorrect, incomplete, fabricated, or inconsistent with your sources. You are solely responsible for reviewing outputs before relying on them.
The Software does not replace peer review, statistical review, an ethics board, legal counsel, or your advisor. Citation, authorship, plagiarism, data integrity, and compliance with venue rules remain your responsibility.
The Software is not a medical device and is not intended for clinical diagnosis, treatment decisions, or other high-risk uses where an error could cause injury or material harm. Do not rely on outputs for those purposes without independent qualified review.
11. Third-party services
Model calls, catalog lookups, PDF parsing, web search (including Exa), browsing, TeX package downloads, git remotes, MCP servers, and skill downloads occur between your machine and the relevant third party. The Publisher is not a party to those contracts and does not broker Your Content. Your use of those services is governed by their terms. The Privacy Policy lists the principal categories.
12. Updates and availability
Official builds may check a release feed and, if automatic download is enabled, retrieve a newer installer. You decide whether to install. The Publisher may stop providing updates or the Website at any time. The Software is not warranted to be available, uninterrupted, or error-free.
13. Intellectual property
Except for Your Content, open-source components under their own licenses, and rights expressly granted in these Terms or the Apache License, the Publisher and its licensors retain all rights in the Software, the Website, and their documentation and design.
14. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE AND WEBSITE ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. THE PUBLISHER DOES NOT WARRANT THAT OUTPUTS WILL BE ACCURATE, THAT EXPERIMENTS WILL BE REPRODUCIBLE, OR THAT THE SOFTWARE WILL NOT DAMAGE FILES OR DATA.
15. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PUBLISHER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR RESEARCH TIME, ARISING OUT OF OR RELATED TO THE SOFTWARE OR WEBSITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PUBLISHER’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SOFTWARE OR WEBSITE SHALL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID THE PUBLISHER FOR THE SOFTWARE, IF ANY.
Some jurisdictions do not allow certain limitations. In those jurisdictions, the limitation applies to the fullest extent permitted.
16. Indemnity
You agree to defend, indemnify, and hold harmless the Publisher from and against claims, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Software, Your Content, your violation of these Terms, or your violation of any third-party right, except to the extent caused by the Publisher’s willful misconduct.
17. Termination
You may stop using the Software at any time by uninstalling it. The Publisher may terminate the license granted in Section 4 if you materially breach these Terms. Sections that by their nature should survive (including 8–16 and 18–19) survive termination.
18. Changes
The Publisher may revise these Terms. The effective date at the top of this page will be updated. If you do not agree to a revision, discontinue use. Continued use of a new version after the effective date constitutes acceptance of the revised Terms.
19. Miscellaneous
These Terms do not create a partnership, employment, or agency relationship. If a provision is held unenforceable, the remaining provisions continue. Failure to enforce a provision is not a waiver. These Terms, together with the Privacy Policy and, for source code, the Apache License 2.0, are the entire agreement between you and the Publisher concerning the official Software and Website. They do not designate a governing law or forum; mandatory consumer-protection rules that apply to you remain unaffected.
